Welcome to Nogiz. This Employment Policy & Service Agreement outlines the terms, responsibilities, and professional expectations applicable to employees, contractors, interns, consultants, and remote resources associated with Nogiz.
By accepting employment, project allocation, salary revisions, or company benefits, you agree to comply with the following policies and conditions.
1. Service Commitment Policy
Employees receiving salary increments, bonuses, specialized training, client-specific onboarding, project-based benefits, or company-sponsored certifications may be required to commit to a minimum service period of one (1) year.
Acceptance of revised compensation, project assignment, or written confirmation shall be treated as acceptance of the service commitment.
Failure to complete the agreed service duration may result in:
- Recovery of applicable company investment costs
- Mandatory notice period completion
- Hold or adjustment of pending dues as per company policy
- Legal or contractual action if required
2. Employment Nature
Employment with Nogiz may include:
- Full-Time Employment
- Contractual Employment
- Freelance Engagement
- Internship Programs
- Remote/Hybrid Work Assignments
The company reserves the right to modify work structures, reporting managers, teams, shifts, or project assignments based on business requirements.
3. Notice Period Policy
Employees are required to serve the notice period mentioned in their Offer Letter or Employment Agreement.
During the notice period:
- Employees must complete all assigned work
- Proper handover is mandatory
- All credentials, documents, and assets must be returned
- Pending tasks and project information must be documented
Failure to complete the notice period may result in salary deductions or legal action as permitted under applicable laws.
4. Attendance & Working Hours
Employees are expected to maintain professional discipline regarding:
- Login/logout timings
- Daily attendance
- Task reporting
- Meeting participation
- Client communication
Working hours may vary depending on:
- Client requirements
- International time zones
- Project deadlines
- Emergency production issues
Repeated absenteeism, late reporting, or unprofessional behavior may result in disciplinary action.
5. Overtime & Weekend Work Policy
Additional work outside standard working hours, including weekends or holidays, may occasionally be required due to:
- Client deadlines
- Production releases
- Emergency support
- Critical project delivery
Overtime payments or compensatory benefits shall be applicable only:
- If approved by management
- Based on client billing approval
- According to company policy
Unauthorized overtime claims will not be considered valid.
6. Remote Work Policy
Employees working remotely must:
- Maintain stable internet connectivity
- Ensure availability during assigned hours
- Attend meetings professionally
- Protect company and client data
- Follow productivity and reporting guidelines
The company reserves the right to request onsite attendance if required.
7. Project Allocation Rights
Nogiz reserves the right to:
- Change project assignments
- Move employees between departments
- Reassign technologies or responsibilities
- Change reporting structures
- Modify work shifts
These decisions may be based on:
- Client requirements
- Resource availability
- Skill requirements
- Business priorities
8. Confidentiality & NDA
Employees must agree and sign(on e-stamp) and maintain strict confidentiality regarding:
- Client information
- Source code
- Credentials
- Business processes
- Internal discussions
- Pricing and contracts
- Marketing strategies
- Technical documentation
Sharing confidential information without authorization is strictly prohibited and may result in immediate termination and legal action.
9. Intellectual Property Rights
All work created during employment with Nogiz, including:
- Code
- Designs
- Documents
- Marketing assets
- Content
- Strategies
- Technical architecture
shall remain the sole property of Nogiz or its clients unless otherwise agreed in writing.
Employees may not reuse, distribute, or claim ownership of company/client assets without permission.
10. Code of Conduct
Employees are expected to:
- Maintain professionalism
- Respect colleagues and clients
- Avoid abusive or unethical behavior
- Follow communication standards
- Represent the company positively
Harassment, discrimination, threats, misconduct, or unethical activities will not be tolerated.
11. Performance & Deliverables
Employees are responsible for:
- Completing assigned work within timelines
- Maintaining quality standards
- Participating in reviews and feedback sessions
- Improving technical and communication skills
Poor performance, negligence, or repeated failure to meet deliverables may lead to disciplinary action.
12. Salary, Incentives & Deductions
Salary structures, incentives, overtime, bonuses, and reimbursements shall be governed by:
- Offer letters
- Client approvals
- Company policies
- Applicable tax regulations
The company reserves the right to:
- Deduct penalties for policy violations
- Hold payments during unresolved disputes
- Adjust incentives based on project status
13. Leave Policy
Employees must obtain approval before taking leave except in emergencies.
Unapproved or excessive leave may affect:
- Salary
- Performance reviews
- Employment continuity
- Project allocation
The company reserves the right to reject leave requests during critical delivery periods.
14. Termination Policy
Nogiz reserves the right to terminate employment in cases including but not limited to:
- Policy violations
- Data breaches
- Misconduct
- Fraudulent activity
- Performance issues
- Unauthorized absence
- Confidentiality violations
Termination may be immediate depending on the severity of the issue.
15. Asset & Access Management
Employees must return all company assets upon request or resignation, including:
- Laptops
- IDs
- Access cards
- Documents
- Login credentials
- Licensed software access
Unauthorized retention or misuse of company assets is prohibited.
16. Non-Solicitation Policy
Employees shall not:
- Directly contact company clients for personal work
- Divert projects or business opportunities
- Attempt to recruit Nogiz employees or contractors during employment
Violation may result in legal action.
MOONLIGHTING, DUAL EMPLOYMENT, FREELANCING & OUTSIDE BUSINESS ACTIVITIES POLICY
I) Exclusive Employment
All full-time employees of NOGIZ are employed on an exclusive basis. Unless expressly approved in writing by the Management, employees shall devote their full professional time, attention, skills, and efforts exclusively to NOGIZ during the period of employment.
II) Prohibition of Dual Employment
Employees shall not, directly or indirectly, accept, undertake, continue, or participate in any employment, engagement, consultancy, advisory role, contract position, payroll arrangement, or professional service with any other individual, company, organization, partnership, LLP, startup, agency, or business entity during their employment with NOGIZ.
III) Prohibition of Moonlighting and Freelancing
Employees shall not engage in moonlighting, freelancing, side projects, independent contracting, consulting assignments, remote employment, gig work, outsourced projects, or any income-generating activity without prior written approval from NOGIZ.
This restriction applies irrespective of whether such activity is performed:

During or after office hours;

On weekdays, weekends, or holidays;

Through online platforms or personal contacts; or
-
For monetary or non-monetary consideration.
IV) Restriction on Direct Client Engagement
Employees shall not directly or indirectly provide services, support, consulting, development work, maintenance, recruitment assistance, technical advice, project management, business analysis, quality assurance, training, interviews, team-building services, staffing assistance, or any other professional services to any existing, former, prospective, or referred client of NOGIZ outside officially assigned company responsibilities.
V) Prohibition on Client Circumvention
Employees shall not directly or indirectly:

Accept private assignments from NOGIZ clients;

Receive payments from NOGIZ clients outside company-approved billing processes;

Negotiate commercial arrangements with NOGIZ clients;

Divert business opportunities belonging to NOGIZ;

Build separate teams or recruit personnel for NOGIZ clients;
-
Conduct interviews, screening, hiring, onboarding, or staffing activities for clients outside official authorization.
VI) Prohibition on Indirect Engagement Through Third Parties
The restrictions under this Policy shall apply irrespective of whether the activity is conducted directly or through:

Employees shall not receive, solicit, transfer, route, divert, or facilitate any payment, commission, fee, referral amount, incentive, compensation, gift, benefit, or financial consideration connected with NOGIZ business, projects, clients, vendors, or opportunities into:
a) their personal bank accounts;
b) undisclosed bank accounts;
c) accounts belonging to parents, spouse, children, siblings, relatives, friends, associates, or nominees; or
d) any business entity owned, controlled, or associated with the employee.
VIII) Mandatory Disclosure Obligation
Employees must immediately disclose in writing to NOGIZ if they:

Establish or acquire any company, LLP, partnership, proprietorship, agency, or startup;

Become a shareholder, director, partner, consultant, advisor, investor, or beneficial owner in any business;

Receive any external business opportunity connected to NOGIZ’s industry, clients, or services;

Engage in any activity that may create a conflict of interest.
IX) Investigation Rights
Where NOGIZ reasonably suspects dual employment, moonlighting, client diversion, freelancing, conflict of interest, unauthorized client engagement, or receipt of unauthorized payments, the employee shall fully cooperate with internal investigations, audits, forensic reviews, and compliance inquiries.
X) Disciplinary Action
Any violation of this Policy shall constitute gross misconduct and may result in:

Immediate termination of employment;

Withholding of pending clearances as permitted by law;

Recovery of damages and losses;
-
Legal proceedings;
-
Injunctive relief;
-
Indemnification claims;
-
Civil and criminal action under applicable laws.
17. Health & Work Support
Nogiz values employee well-being. Employees facing:
- Health concerns
- Mental stress
- Burnout
- Project-related difficulties
are encouraged to communicate with management or HR. The company may provide:
- Project changes
- Flexible work arrangements
- Revised schedules
- Supportive reassignment where possible
18. Policy Updates
Nogiz reserves the right to modify or update this Employment Policy & Service Agreement at any time without prior notice.
Employees are responsible for reviewing updated policies periodically.
19. Legal Jurisdiction
All employment-related disputes shall be governed under the laws of India and subject to the jurisdiction of courts located in Punjab, India.
